הקלות לחברות המנפיקות לראשונה (IPO)

ביום 16.3.2016 פרסמה רשות ניירות ערך מזכר, בו ביקשה להודיע, כי הותקנו בחוק ובתקנות הקלות לחברות המבקשות להנפיק מניות לראשונה והן תיכנסנה לתוקף עם פרסומן ברשומות.

ההקלות מיועדות להעניק לחברות המנפיקות לראשונה תקופת הסתגלות של 5 שנים ממועד ההנפקה, במהלכה יחולו עליהן דרישות מקלות בנושאי גילוי וממשל תאגידי.

המזכר התייחס לעניינים הבאים: (א) תנאי כהונה והעסקה של בעל שליטה וקרובו; (ב) תנאי כהונה והעסקה של נושאי משרה; (ג) כהונת אדם וקרובו כיושב ראש ומנכ"ל; (ד) אפשרות פרסום תשקיף מדף במועד הנפקה לראשונה; (ה) אפקטיביות הבקרה הפנימית; (ו) נתונים השוואתיים בפרק תיאור עסקי התאגיד; (ז) תקופה להגשת הזמנות; (ח) שינויים בכמות ומחיר בהודעה משלימה; (ט) חתימת חתם על טיוטת תשקיף; (י) התרת מפגשים עם משקיעים מסווגים טרם תחילת הליכי הנפקה; (יא) אכיפה מנהלית.
