יישום שאלון ממשל תאגידי בשנת 2015

ביום 12.9.2012 פרסמה רשות ניירות ערך נוסח מחייב של הנחיית גילוי לפי סעיף 36א(ב) לחוק ניירות ערך, בדבר יישום שאלון ממשל תאגידי כחלק מפרויקט שיפור הדוחות (לפרוייקט, ראה כאן), כאשר יישומה לראשונה של הנחייה זו היה בדוח התקופתי לשנת 2012 ("הנחיית הגילוי").
בעקבות שאלות רבות שעלו בנוגע ליישום השאלון בדוחות התקופתיים לשנת 2015, סגל הרשות מבקש להבהיר כי נכון למועד הודעת סגל הרשות, הנחיית הגילוי טרם עוגנה בתקנות, ומשכך אינה בעלת תוקף מחייב ליישום במסגרת פרסום הדוחות השנתיים לשנת 2015. לצד זאת, מבהיר סגל הרשות, כי סגל הרשות פועל לעיגון ההנחיה במסגרת התקנות באופן מחייב וקבוע, וכן הוא מעודד את יישומה כבר עתה.
